In these Terms; "Perfect Knowledge" means Perfect Knowledge Limited, trading as Perfect Knowledge Ltd, company number 4530766 registered office 27 Mallard House, Station Court, Townmead Road, Fulham, London, SW6 2BF, its assigns, successor in title, affiliates, officers, directors, members, agents, representatives and employees. Service means the services of Perfect Knowledge Ltd staff and suppliers. "You means the user of the site; "Site" means the website operated by Perfect Knowledge Limited at the URL www.perfect-knowledge.com or any site that replaces it. |

| 1. |

Our charges are based on Price on Application (POA) work carried out from Monday to Friday, between the hours of 9.00am and 5.00pm. Any work done out of these hours may be charged at a higher rate, but will be previously agreed between the client and Perfect Knowledge Ltd. |

| 2. |
|
You can employ us by the hour for one-off instructions or brief. All this depends on the nature of the instruction and the cost to complete the brief. |

| 3. |
|
We will put a surcharge on the services of any supplier we source to ensure the instruction is carried out. |
| |
|
|
| 4. |
|
You specify how much time you want us to work on a project and hence the cost and you will be given a time estimate for the instruction to be completed. The time period and cost shall change if the instruction has to be adapted in anyway or to gain access to suppliers and contacts or to gaining access to further information to ensure the brief is completed. |

| 5. |
|
For parties and bespoke events, you may give us a budget and we will cost up a proposed itinerary. In these instances our charges are not by the hour but on a percentage basis of the total job. Our charge may be either hidden within the budget or a separate fee as per your request. |

| 6. |
|
Perfect Knowledge Ltd reserves the right to make changes at any time to any part of these Terms. All such changes will be published in the text on this page. You agree to any such changes by continuing to be use the site |

| 7. |
|
When you wish Perfect Knowledge Ltd to organise your party, you will fill specify the type of party, venue, theme and budget you have in mind, together with your payment details. On receipt of your preliminary order you will be charged a specified non-refundable deposit "Deposit". You may reject the proposal without penalty and you acknowledge that the deposit is non-refundable. |

| 8. |
|
You acknowledge that entertainers, caterers, performers or any other person engaged by you to provide services may need access to your premises in order to carry out those services. By engaging such persons you impliedly give licence to them to enter your premises in order to carry out the services. You further acknowledge that it is your responsible to take steps to check the identity of such persons and that Perfect Knowledge Ltd cannot be responsible for the conduct of such persons on your premises. |

| 9. |
|
Perfect Knowledge Ltd reserves the right not to accept your order, for whatever reason, without giving notice to you. You acknowledge that Perfect Knowledge Ltd may run a credit check on your card prior to accepting your order. No Products will be despatched or Services rendered until Perfect Knowledge Ltd has received payment. No Products will be despatched or Services rendered until Perfect Knowledge Ltd has received payment in full. You acknowledge and agree that if you make payment by cheque Perfect Knowledge Ltd will allow 5 working days for the cheque to clear before carrying out your order. |

|
Any import or export licences that may be required in order for Perfect Knowledge Ltd to carry out your all instructions and for ensuring compliance with all regulations governing the import or export of products. Perfect Knowledge Ltd cannot provide replacement products or refunds in the event of import or export licences being refused. |

| 11. |
|
The conduct of the guests at your party. You hereby indemnify us from any loss or damage including legal costs incurred by us as a result of any act or omission of a guest at your party. |

|
You acknowledge that Perfect Knowledge Ltd cannot be held liable for an error in delivery, or non-delivery which is the result of incorrect information supplied by you. |

| 13. |
|
Payment and payment protection - Payment must be made at the time the order is submitted, using any MasterCard, Visa or Eurocard credit card, or Visa, Delta or Switch debit card, or cheque drawn upon a UK bank account. You will indicate when placing your order whether you intend to make payment by cheque (which must be drawn on a UK bank account) or credit or debit card. Payment will be debited from your account before the despatch of Products or provision of Services. You acknowledge that Perfect Knowledge Ltd requires your credit, debit or cheque guarantee card information (card number, expiry date and billing address postcode) in order to process your payment. Perfect Knowledge Ltd will not use this information for any purpose other than to process your payments. Late payment, non-payment - Title to the products shall remain with Perfect Knowledge Ltd until payment in full is received. Perfect Knowledge Ltd reserves the right to retake possession of the products in the event of non-payment and to resell such products without notice and without prejudice to our right to claim damages against you for any losses or expenses incurred. Perfect Knowledge Ltd reserves the right at any time to charge interest on late payments with effect from the date on which the order was made at a compound annual rate of 4% above Barclays Bank plc base rate from time to time. |

Perfect Knowledge Ltd reserves the right to withdraw or modify any of the Products and Services offered. Perfect Knowledge Ltd will endeavour to give reasonable notice of such change but cannot be held liable for any loss or damage suffered by you as a result of such withdrawal or modification. All prices displayed are quoted in UK Pounds Sterling inclusive of VAT and must be paid in full including delivery and insurance charges on submission of the order. Perfect Knowledge Ltd reserves the right to increase price or charges shown at any time to account for any change in supplier's prices, rates of exchange, taxes, duties or an error. You will be notified as soon as reasonably possible of any change to a price or charge quoted in your preliminary or final proposal form. Perfect Knowledge Ltd shall be entitled to adjust the price to take account of any cost incurred by Perfect Knowledge Ltd caused by delay on your part in supplying information required to finalise your order or of any alteration made by you to the specifications or other information supplied by you. |

| 15. |
|
Perfect Knowledge Ltd will endeavour to comply with a quoted delivery date but will not be liable for any loss, damage, injury or expense, either direct or indirect howsoever arising and including but not limited to loss of profit or liability to third parties, which you may suffer by reason of the late delivery of the products. The buyer shall not be entitled to reject any products by reason of their being delivered other than at the quoted time. Perfect Knowledge Ltd shall not be liable for delay or failure to deliver products promptly if such failure arises due to any cause beyond the reasonable control of Perfect Knowledge Ltd, including but without limitation, strike, riot, lockouts or other labour trouble, war, fire, flood, accident, mechanical failure, non-availability to Perfect Knowledge Ltd of manufactured stock, parts, or materials; delay or failure of delivery of the products to Perfect Knowledge Ltd by manufacturers, suppliers or other person; government action, legislation or regulation of any kind or other causes deemed Acts of God. |

No Warranty - To the extent allowed by the law Perfect Knowledge Ltd makes no warranty or representations, express or implied, that the Products and Services supplied or mentioned are of satisfactory quality or fit for the purpose for which they are intended or about the suitability of its hired performers or other suppliers or their skill in carrying out the tasks for which they are hired. |

Liability - Perfect Knowledge Ltd will try to ensure the quality of the Products and Services but shall not be liable for delays, interruptions, errors and omissions caused by any factor beyond its reasonable control, or for any loss or damage sustained by you or any third party whatsoever or howsoever arising out of or related to the use of the Site, information and advice given on the Site or any other website linked to the Site even if Perfect Knowledge Ltd or any of its suppliers has or have been advised of the possibility of such loss or damage. Nothing in this clause excludes Perfect Knowledge Ltd from liability for death or personal injury caused by the negligence of Perfect Knowledge Ltd. |

Third Party Liability - Perfect Knowledge Ltd will take all reasonable steps to ensure that suppliers of Products and Services are acting in good faith and that accurate descriptions of such Products and Services are published on the Site but Perfect Knowledge Ltd does not accept liability for any loss or damage suffered by you or any third party caused by the default, act or omission of Perfect Knowledge Ltd in relation to or of such a supplier. |

Termination - Perfect Knowledge Ltd reserves the right to terminate your ability to use our Services, if your conduct is found to be inconsistent with these Terms. |

Indemnity - You hereby agree to indemnify Perfect Knowledge Ltd against all liabilities, claims and expenses arising from any breach by you of these Terms. |

Assignment - Perfect Knowledge Ltd reserves the right to assign or subcontract all or any of its rights and obligations under these Terms. |

Entire Agreement - These Terms contain the entire agreement and understanding between the parties hereto relating to the sale and purchase of Goods and Services through Perfect Knowledge Limited and supersedes all prior agreements, arrangements, statements and understandings between the parties. No oral representations, warranties or promises shall be implied as terms of the Agreement. Any variation of the Terms must be agreed in writing by both parties. |

Jurisdiction - These Terms shall be governed by and be construed in accordance with English Law. All transactions contemplated by this Agreement shall be subject to English law and all disputes arising from such transactions shall be heard in the Courts of England and Wales. |
